Pre-Transaction Documentation:

We advise clients on the very early stages of the transaction, which include assisting clients on drafting and negotiating various types of pre-transaction documentation as but not limited to Memorandum of Understanding (MoU), Non-Binding Offers (NBOs) and Term Sheets.

Legal Due Diligence:

Our team conducts full fledge legal due diligence processes whether a seller or a buyer due diligence. Our due diligence review includes the assessment of the corporate governance compliance, regulatory licenses, material and financing agreements, environmental assessment, data protection, employment and litigation.  In addition to providing the full fledged due diligence report, we ensure to provide our clients with a concise red flag report identifying the major key concerns to be taken into consideration by the client whether as a seller or buyer as may affect the valuation of the target and the transaction’s documentation.

Transaction Agreements:

Our team excels in negotiating transaction documents, safeguarding our clients’ interests ensuring all legal and commercial risks are mitigated. We advise on various types of M&A transactions, joint ventures, or partnerships. We guide clients through the negotiations and drafting the transaction documents including Share Purchase Agreements (SPAs), Subscription Agreements and Shareholders Agreements (SHAs). We further advise on other relevant ancillary documents as management agreements, shareholders loan agreements and escrow agreements.

Restructuring:

We help major family offices and multinationals with their corporate restructuring, advising them on streamlining their operations while staying compliant with local and international regulations. We assist companies with corporate restructuring to facilitate mergers, capital increases, and spin-offs, ensuring that clients have an efficient corporate structures in light of the regulatory and operational changes.

Transactional Highlights:

  • Acted as the Egyptian legal counsel of Philip Morris International (PMI), in relation to the acquisition of a minority indirect stake (14.7%) in Eastern Tobacco Company (Eastern), Egypt’s largest cigarette manufacturer.

  • Represented Benya Capital in connection with its cooperation with the Arab Organization for Industrialization for constructing a fiber optic cables plant in the economic zone by the Suez Canal worth approx. EGP 1 Billion.

  • Advised a consortium of local and international companies in the acquisition of a 39% stake in pipeline owner Eastern Mediterranean Gas Co. with a value of USD 518 Million.
  • Representing and advising the Commercial International Bank in deleveraging companies in the Bank’s tourism portfolio.
  • Advise and represent Harmonica, the owner of dating and matchmaking platform with respect for local tradition and culture, in connection with its 80% acquisition by Match Group.
  • Represented shareholders of Aramex Mashreq Logistic Services in the sale of their stake in the company.
  • Represented Dolphinus Holding in several projects related to gas importation.
  • Acquisition of the majority shares in a mass transportation company Swvl issuing new shares for new investors.
  • Represented Seha Capital in the acquisition of 100% of the United Doctors S.A.E the owner of El Gezira Hospital with a value of EGP 100 Million.
  • Advising Golden Chain in partnership with PACT on developing land lot and establishing a mix complex in Sahl Hashish with a total value of EGP 1.5 Billion.
  • Advised Ezz Elarab Automotive on deal structure process in relation to sale of Citroen distribution business in Egypt.
  • Advised Qadanco to sell 100% of equinox technology to Fiber Misr through a hybrid offer with a value of USD 20 Million.
  • Set up joint venture between Grand Circle a major US investor in the field of river cruises and a major Egyptian investor in the same field.
